1) Definitions and Interpretation
a) In these Terms and Conditions:
i) “Client” means the individual or entity purchasing or accessing the Training Services;
ii) “Materials” means all written, digital, audio or visual materials provided as part of the Training Services;
iii) “Provider” means Numbers for Lawyers;
iv) “Training Services” means legal education courses, workshops, seminars, online programmes and related services provided by the Provider.
b) Headings are for convenience only and do not affect interpretation.
2) Provision of Training Services
a) The Provider shall provide the Training Services as described in the relevant course description, proposal or booking confirmation.
b) The Provider may make reasonable changes to the content, trainers, venue or method of delivery where necessary.
3) Fees and Payment
a) Fees shall be as stated at the time of booking or as otherwise agreed in writing.
b) Unless otherwise agreed, all fees shall be paid in full within 7 days of the commencement of the Training Services.
c) All fees are exclusive of VAT, which shall be payable where applicable.
d) The Provider reserves the right to suspend access to the Training Services in the event of late payment.
4) Cancellation and Substitution
a) If the Client wishes to cancel a booking it may do so:
i) No later than 14 days before the commencement of the Training Services, and if it does so it will not be liable to pay anything
ii) Between 14 days and 7 days before commencement of the Training Services, and if it does so it will be liable to pay half of the agreed fees
iii) 7 days or later before commencement of the Training Services, and if it does so it will be liable to pay all of the agreed fees.
b) The Provider may cancel or reschedule the Training Services due to events beyond its reasonable control and shall offer a refund, credit or alternative date.
5) Intellectual Property
a) All intellectual property rights in the Materials vest in the Provider or its licensors.
b) The Client is granted a non-exclusive, non-transferable licence to use the Materials for internal training purposes only.
c) The Client shall not copy, record, distribute or commercially exploit the Materials without the Provider’s prior written consent.
6) Confidentiality
Each party shall keep confidential all confidential information disclosed in connection with the Training Services.
7) No Legal Advice
a) The Training Services are provided for general educational purposes only.
b) Nothing provided constitutes legal advice or creates a solicitor-client relationship.
c) The Client should obtain independent legal advice before acting on any information provided.
8) Limitation of Liability
a) Nothing in these Terms and Conditions shall limit liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded by law.
b) Subject to clause 8a), the Provider’s total liability shall not exceed the fees paid by the Client for the relevant Training Services.
c) The Provider shall not be liable for any indirect or consequential loss.
9) Indemnity
The Client shall indemnify the Provider against all losses arising from misuse of the Materials or breach of these Terms and Conditions.
10) CPD and Accreditation
a) Where applicable, the Provider shall take reasonable steps to ensure that the Training Services meet stated CPD requirements.
b) Responsibility for claiming and recording CPD points rests with the Client.
11) Termination
a) The Provider may terminate access to the Training Services immediately if the Client commits a material breach of these Terms and Conditions.
b) Clauses relating to intellectual property, confidentiality and liability shall survive termination.
12) Governing Law and Jurisdiction
a) These Terms and Conditions and any dispute arising out of them shall be governed by and construed in accordance with the laws of England and Wales.
b) The courts of England and Wales shall have exclusive jurisdiction.
13) Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements or understandings relating to the Training Services.
